The raise one-pager that won't get you sued

Lesson 1 of 6 · Capital, project by project

1 · Learn the move · Constraints + negative instructions

A raise one-pager is marketing for a securities offering, and every word in it is something a regulator or an unhappy investor's lawyer can read back to you. A development raise carries three claims a stabilised raise does not, and each has a safe form and a dangerous one. Returns: 'targets' is a projection, 'will return' is a guarantee. Entitlement: 'site plan approved with conditions', quoted, is a fact, while 'fully entitled' is a conclusion nobody signed. Utilities: the will-serve letter's own words are a fact, 'fully served' is a hope. The technique is to load the prompt with hard constraints and named bans, so the model writes the marketing while the guardrails hold, and to keep it away from the disclaimer entirely. The gate sits over the whole area: raising money from investors is a securities matter. This page is a draft for securities counsel's review, and the model never says the offering, any exemption or the structure is compliant.

Draft a one-pager for prospective investors from the documents below and nothing else. Every return is labelled a target, with 'not a guarantee'. Entitlement and utility status are quoted from the approval and the will-serve letters, never summarised as 'entitled' or 'served'. Insert [SECURITIES DISCLAIMER - drafted by securities counsel] and do not write it. Never say anything is compliant. 2 · Your turn. You write the prompt

Your firm is raising outside equity for Phase 1 of Ashgrove Commerce Park, two flex buildings on a site in Bellmire County that won site plan approval this spring. You have the sponsor memo, the draft term sheet, the summary tab of your own development model, the approval letter with its conditions, and a water will-serve letter. The sewer letter has not come back. Write the prompt that sells the project to prospective investors without a sentence your securities counsel has to walk back.

Write the prompt for this scenario as given, or swap in a real one from your own work. The score works the same either way.

Remember: the AI sees only your prompt, not this page. If the situation isn't in your prompt, it doesn't exist.

Optional. These shape the output when you run your prompt below, not your score.
